Vector Labs Inc. End User License Agreement

Oct 8, 2026

This End User License Agreement is a contract between you and Vector Labs Inc. governing your use of Ledger Core, Classify, and TaxDuo and related products. Last updated October 8, 2026.

1. Agreement and the Services

Vector Labs Inc., an Idaho corporation (“Vector Labs”), owns and operates Ledger Core, Classify, and TaxDuo, together with their websites, applications, and documentation (the “Services”). By creating an account, connecting an accounting platform, or using the Services, you agree to this Agreement. If you accept on behalf of an accounting or advisory firm (a “Firm”), you confirm you have authority to bind it, and “you” means the Firm.

The Services are for businesses and professionals only. If you do not agree to this Agreement, do not use the Services. Our Privacy Policy explains how we handle information and is part of this Agreement. If you have a separate written agreement with Vector Labs, it controls where it conflicts with this one.

Vector Labs is a separate legal entity from Knuff & Kunde CPAs. This Agreement is posted on the Knuff & Kunde website as a convenience, and Knuff & Kunde CPAs is not a party to it.

2. License and restrictions

Subject to this Agreement and payment of applicable fees, Vector Labs grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes during the term. The Services are licensed, not sold.

You may not, and may not allow others to:

  • copy, modify, or create derivative works of the Services, or reverse engineer or attempt to extract source code, models, prompts, or data structures, except where law forbids this restriction;
  • resell, sublicense, or make the Services available to anyone outside your Firm, other than clients you invite to use features designed for clients;
  • use the Services to build a competing product or to benchmark them for a competitor;
  • interfere with or disrupt the Services, probe their security, or bypass access controls or usage limits;
  • upload malicious code, or use automated means to access the Services other than interfaces we provide;
  • enter Social Security numbers or other data we ask you not to submit; or
  • use the Services in violation of law, including tax practice, privacy, and professional-conduct rules.

3. Accounts, Firms, and authorized users

Each Firm designates one or more administrators who add and remove users, assign access, and share clients among users. You are responsible for the accuracy of account information, for keeping credentials confidential, and for all activity under your Firm’s accounts. Each user must use their own credentials. Access may be limited to users with your Firm’s email domain.

Tell us promptly at the contact address in Section 9 if you suspect unauthorized access. We may suspend an account we reasonably believe is compromised or being used in violation of this Agreement.

4. Customer data and third-party connections

Your data. You keep all rights in the information you or your clients submit, connect, or generate through the Services (“Customer Data”). You grant Vector Labs a limited license to host, process, and display Customer Data only to provide and support the Services to you, as described in the Privacy Policy. We do not use Customer Data to train AI models.

Authority and consents. You represent that you have the right to submit Customer Data and to connect the accounts you connect, and that you have obtained every client consent and given every notice that law or professional rules require, including consents under Internal Revenue Code section 7216 for tax return information and notices to clients about your use of AI-assisted services.

QuickBooks Online and other platforms. Connecting an accounting platform, including QuickBooks Online from Intuit, authorizes Vector Labs to access that account using the permissions you approve. You may revoke access at any time in the Services or in the platform’s own settings. Your use of a third-party platform is governed by that provider’s terms, and Vector Labs is not responsible for the provider’s services, availability, or changes to its interfaces. Entries are written to a connected account only after an authorized user approves them.

Backups. You remain responsible for maintaining your own books and records. The Services are not a substitute for the records you are required to keep.

5. AI features and professional responsibility

The Services use AI to suggest account mappings and adjusting entries, summarize trends, extract information from documents, and answer questions. AI output can be incomplete or wrong. A qualified professional at your Firm must review it before relying on it, posting it to a client’s books, filing it, or sending it to a client. You are solely responsible for the work you deliver to clients.

Tools may produce estimates and projections, including simulations, based on your inputs and assumptions. They are hypothetical, are not guarantees of future results, and depend on tax law and market conditions that change. Vector Labs is not a CPA firm, law firm, investment adviser, or fiduciary, and nothing in the Services is tax, legal, accounting, or investment advice to you or your clients.

The Services flag differences, such as changes to a closed period, so a professional can look at them. They do not certify the accuracy or completeness of any books or return.

6. Fees and ownership

Fees. You will pay the fees in your order form, subscription plan, or invoice. Fees are due as stated there, are non-refundable except where this Agreement or law says otherwise, and exclude taxes, which you will pay. We may change fees for a renewal term on 30 days’ written notice. We may suspend access for fees more than 30 days overdue after notifying you.

Our ownership. Vector Labs and its licensors own the Services, including the software, models, prompts, workflows, designs, documentation, names, and logos, and all related intellectual property. No rights are granted except those stated in Section 2. Classify, Ledger Core, Tax Planner, HNW, and TaxDuo are names used by Vector Labs.

Feedback. If you give us suggestions or feedback, we may use them without restriction or payment, provided we do not disclose your Customer Data.

7. Disclaimers and limitation of liability

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT THE LAW ALLOWS, VECTOR LABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. VECTOR LABS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT AI OUTPUT, CALCULATIONS, OR PROJECTIONS WILL BE ACCURATE OR COMPLETE.

TO THE FULLEST EXTENT THE LAW ALLOWS, VECTOR LABS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING FROM THIS AGREEMENT OR THE SERVICES. VECTOR LABS’S TOTAL LIABILITY WILL NOT EXCEED THE FEES YOU PAID FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM AROSE. THESE LIMITS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED BY LAW.

You will defend and indemnify Vector Labs against third-party claims arising from your Customer Data, your breach of this Agreement, or the work product you deliver to your clients, except to the extent caused by Vector Labs.

8. Term, termination, and data export

This Agreement lasts until your account or subscription ends. You may stop using the Services and close your account at any time. Vector Labs may suspend or terminate access if you materially breach this Agreement and do not cure the breach within 15 days of notice, or immediately if your use threatens the security or legality of the Services.

After termination, your license ends and you must stop using the Services. You may export your Customer Data for 60 days, after which we delete it as described in the Privacy Policy. Sections 4 (ownership of Customer Data), 6 (ownership), 7, and 9, and any payment obligations, survive termination.

9. General terms and contact

Governing law. Idaho law governs this Agreement, without regard to conflict-of-law rules. The state and federal courts located in Idaho have exclusive jurisdiction over disputes, and each party consents to them.

Changes. We may update this Agreement. We will give Firm administrators at least 30 days’ notice of material changes by email or in the Services. Continued use after the effective date accepts the update.

Other terms. This Agreement, with the Privacy Policy and any order form, is the entire agreement on its subject. If a provision is unenforceable, the rest remains in effect. You may not assign this Agreement without our consent; we may assign it in a merger or sale of the business. Neither party is liable for delays caused by events beyond its reasonable control. A failure to enforce a provision is not a waiver.
